Gwangju Bank Union Strongly Opposes Align Partners’ Demand for Review of JB-BNK Merger… “Capital-Centric Approach”
“Merely Maximizing Shareholder Value While Ignoring Regional Economy and History” Chairman Park Man: “We Will Resolutely Resist This Unilateral Decision Prioritizing Only the Major Shareholder’s Interests”
(Break News Jeonnam Gwangju) Reporter Lee Hak-su = The Gwangju Bank Labor Union of JB Financial Group has expressed strong opposition to the demand for a review of the feasibility of a merger between JB Financial Group and BNK Financial Group, recently proposed by the activist fund Align Partners Asset Management (hereinafter Align Partners).
The union directly criticized this proposal, calling it a "capital-centric approach that ignores Gwangju Bank’s history, regional responsibilities, and the voices from the field."
Previously, on the 14th, Align Partners sent an open shareholder letter to the boards of directors of both companies, demanding the establishment of a special committee composed of independent directors and the appointment of a global advisory firm. Along with this, a specific deadline was set: a decision on whether to commence the review must be made by August 7, and the review results and implementation plans must be disclosed by the third-quarter earnings announcement.
In response, the Gwangju Bank Labor Union sharply criticized the move, stating, “Align Partners presents a merger of 234 trillion won in total assets as the only solution, citing the crisis facing regional finance due to population decline and concentration in the capital area. However, the essence of this proposal lies in maximizing shareholder value rather than the future of the regional economy.”
In particular, the union refuted the merger logic put forward by Align Partners point by point. They pointed out that pushing for a merger that prioritizes only financial and technological effects—such as building economies of scale, improving Return on Equity (ROE), and expanding investment in AI—completely fails to reflect the history of Gwangju Bank, which has grown alongside local residents, or the hard work of employees who have been working tirelessly in the field.
The labor union stated, “The competitiveness of regional finance stems from community-oriented finance that has built trust by breathing together with local businesses, small business owners, and residents.” They expressed concern that if the merger review is hastily pushed forward to meet a unilateral schedule proposed by external shareholders, the role and public nature of regional finance will be significantly weakened. Furthermore, they warned that this could lead directly to damage for the local community, such as a reduction in financial support for local businesses and small business owners.
The Gwangju Bank labor union drew a clear line, stating that what Gwangju Bank truly needs right now is not unreasonable expansion of its size. Instead, they made it clear that the top priorities are expanding financial support to revitalize the local economy and strengthening customized financial services for local businesses and small business owners.
Park Man, Chairman of the Gwangju Bank Labor Union, urged, “Before discussing the establishment of a special committee and the appointment of an advisory body, the Board of Directors must first clearly answer to the local community who this merger review is truly for.” Chairman Park then sent a warning message with a strong warning of struggle, stating, “If a unilateral decision prioritizing only the interests of the largest shareholder is forced through, we will resolutely resist and oppose it to the end together with the local community.”
