Metaplanet Delays Preferred Share Listing Amid Regulatory and Market Chal...

Metaplanet

Metaplanet has postponed the launch of its planned preferred share listing as the company works through structural and regulatory hurdles in Japan’s underdeveloped preferred equity market.

CEO Simon Gerovich said the company’s proposed offering would be only the seventh listed preferred share product in Japan and the first perpetual preferred share ever introduced in the country.

The delay centers on two major challenges. Japanese exchange rules require companies issuing preferred shares to demonstrate stable and recurring cash flows capable of supporting dividend payments under different market conditions. Metaplanet must prove its Bitcoin Income Generation Business can consistently generate returns even during unfavorable bitcoin market cycles. The company currently has only six quarters of operational history tied to this business model.

A second complication involves Metaplanet’s plan to distribute dividends monthly, which differs sharply from Japan’s standard annual or semiannual payment structure. The company must build new infrastructure to manage record dates and recurring distributions.

The company reported strong earnings growth, with net sales rising 251% year over year to ¥3.08 billion and operating income increasing 283% to ¥2.27 billion. Metaplanet currently holds 40,177 BTC, making it Japan’s largest corporate bitcoin holder and the world’s third-largest bitcoin treasury company.
