Kolon TissueGene reshuffles board ahead of TG-C phase 3 topline data

Kolon TissueGene is accelerating preparations for the global commercialization of its knee osteoarthritis treatment, TG-C, by reshaping the company's board of directors ahead of the upcoming topline results from its U.S. phase 3 clinical trial.

The company said it held a regular board meeting and strategic review session last Wednesday and Thursday (local time) at its headquarters in Rockville, Maryland. Newly appointed board members attended the meeting, where discussions focused on global market entry strategies and commercialization roadmaps following the phase 3 data release for TG-C.

Kolon TissueGene is scheduled to announce topline results from the U.S. phase 3 trial of TG-C in July. The company is currently preparing for a Biologics License Application (BLA) submission to the FDA while also refining its U.S. commercialization strategy. Last October, it signed a manufacturing agreement with Lonza Integrated Biologics to secure commercial-scale production capabilities for TG-C.

The latest board reshuffle is aimed at strengthening accountability and professional expertise. At the company’s annual shareholders’ meeting in March, Lee Kyu-ho, vice chairman of Kolon Corp., was newly appointed as an internal director, while two global biotech and healthcare experts joined as outside directors. The company said the new board members are expected to reinforce the board’s independent decision-making structure through their professional insights and industry experience.

Lee, who joined the board as an internal director, has chaired the Bio-Healthcare Working Group (BHWG), newly established under the APEC Business Advisory Council, since last year. In March, he also met with officials from the Ministry of Health and Welfare to discuss key healthcare policy agendas and public-private cooperation measures to strengthen the country's global competitiveness in the biohealth industry.

The newly appointed outside directors also bring extensive experience in the global pharmaceutical and biotech sectors.

Jan Van Acker, an outside director, previously served as chief marketing officer and senior vice president at Merck & Co. (MSD), where he led commercialization efforts for blockbuster drugs including Keytruda.

Robert Yuen Lee Ang, another outside director, is a former surgeon and former chief executive officer of Vor Bio. He has broad experience spanning strategic consulting, corporate management, and business development in the global biotech industry.

Kolon TissueGene said the new directors are expected to contribute to TG-C’s successful global launch by leveraging their expertise in regulatory approvals and local commercialization.

Kolon TissueGene CEO Jeon Seng-ho chaired the board and strategic review sessions, sharing the phase 3 data release timeline and long-term commercialization strategy with board members.

“Following the shareholder resolution in March, we will closely coordinate the future direction of global commercialization with the newly appointed board members,” Jeon said. “With a board structure built on independence and expertise, we will work closely together to help Kolon TissueGene take a leap forward as a global biotech company, beginning with FDA approval for TG-C.”

TG-C is Kolon TissueGene’s core cell and gene therapy pipeline for knee osteoarthritis. The phase 3 topline readout in July is expected to serve as a major turning point for the company’s future FDA filing plans and U.S. commercialization strategy.

The latest board restructuring is widely viewed as part of broader efforts to strengthen execution capabilities across regulatory approval, manufacturing, local commercialization, and global business development ahead of the pivotal clinical data announcement, industry watchers said.
